AVIS DE PROJET D'APPORT PARTIEL D'ACTIF
La société "GRELIER FRANCE ACCOUVEUR" et la société "HYBRID TURKEYS", sus-désignées, ont établi le 12 novembre 2012, un projet d'apport partiel d'actif soumis au régime juridique des scissions (Articles L. 236-23 et L. 236-24 du Code de commerce).
Aux termes de ce projet, la société "GRELIER FRANCE ACCOUVEUR" ferait apport à la société "HYBRID TURKEYS" de sa branche complète et autonome d'activité de recherche et développement dans le domaine de l’élevage et de l’accouvage de dindes, dont l'actif est évalué à 936.033,79 euros et le passif à 229.387,00 euros. Compte tenu de la constitution d’une provision pour perte de rétroactivité de 200.000 euros, l’apport net serait de 506.646,79 euros.
Il a été convenu que le passif pris en charge par la société "HYBRID TURKEYS" ne serait pas garanti solidairement par la société "GRELIER FRANCE ACCOUVEUR".
En rémunération de cet apport, il serait attribué à la société "GRELIER FRANCE ACCOUVEUR", 28.416 actions nouvelles de 7,48 euros de nominal, créées par la société "HYBRID TURKEYS" au titre d'une augmentation de capital de 212.551,68 euros, entièrement libérées. Le montant prévu de la prime d’apport s’élève à 294.095,11 euros. La provision pour perte de rétroactivité s’ajoutera au montant de la prime d’apport pour la porter à 494.095,11 euros.
L'ensemble des opérations actives et passives de la branche complète d'activité apportée serait pris en charge par la société "HYBRID TURKEYS" et réputé accompli pour son compte depuis le 1er janvier 2012.
Les créanciers des sociétés participantes dont les créances sont antérieures au présent avis pourront former opposition dans les conditions et délais prévus aux articles L. 236-14, R. 228-66 et R228-67 du Code de commerce.
Le projet d'apport partiel d'actif a été déposé le 14 novembre 2012 au greffe du tribunal de commerce d’ANGERS sous le numéro 2012-A-8216 pour la société "GRELIER FRANCE ACCOUVEUR" et le 16 novembre 2012 au greffe du tribunal de commerce de SAINT BRIEUC sous le numéro 2012-A-4848 pour la société "HYBRID TURKEYS".
